(hereinafter the “Provider”)
I. Distance contracts
1. These General Terms and Conditions govern the mutual rights and obligations of a natural person who concludes a contract for the provision of services or a contract for the supply of digital content as a consumer, or of a natural or legal person acting in the course of their business (hereinafter the “customer”), via the website www.tingbrno.cz. These are therefore distance contracts and the terms and conditions laid down for them.
2. In the contractual relationship with the Provider, the customer agrees to the use of means of distance communication when concluding the distance contract.
3. The Provider does not charge customers any additional fees for the use of means of communication for concluding the distance contract beyond the basic rate that the customer pays for using these means of communication.
II. Order and conclusion of the contract
1. The contractual relationship (conclusion of the distance contract) between the Provider and its customers arises upon confirmation of the received order, which the Provider sends to the customer’s email address, unless the contracting parties agree otherwise.
2. If the customer states their Company ID (IČO) and billing details in the order, and thus intends to use the Provider’s services or products in the course of their business, they will not be regarded as a consumer within the contractual relationship and their contractual relationship with the Provider will be assessed as a relationship between two business persons; otherwise, the customer is deemed to be a consumer and the provisions of Act No. 634/1992 Coll., on Consumer Protection, apply to the relationship with the Provider.
3. The Provider’s website contains a list and description of services and digital content, including their prices.
4. To place an order, the customer makes the relevant selection on the website, fills in the order form and confirms the purchase by expressing consent with the notice of the obligation to pay.
5. Without undue delay after receiving the order, the Provider confirms receipt of the order to the customer by email.
III. Price and payment terms
1. The customer gains access to the products after paying the full set price.
2. The payment term is set at 5 days.
3. The Provider sends the tax document (invoice) in electronic form to the customer’s email address.
4. The customer places an order through the order form. After accepting the order, the Provider issues an invoice and sends it to the customer in electronic form to their email address. The customer pays the invoice by cashless bank transfer to the Provider’s bank account stated on the invoice.
5. Payment of the invoice entitles the customer to delivery of the product. The Provider does not dispatch the product until the invoice has been paid.
6. The Provider accepts payment for its products in Czech crowns (CZK). If the customer pays for products in another currency, the funds paid will be converted and credited to the Provider’s account in Czech crowns according to the current terms and exchange rate of the Provider’s bank.
IV. Delivery terms
1. Products
(i) Online courses
When an online product is purchased (in particular online courses, recordings, etc.), the Provider may create a user account in the members’ section for the customer after the price has been paid. If the online product is distributed other than through the members’ section, the customer will be sent access details to another platform through which the course or recording will be available, or it will be distributed by email or in another form reserved by the Provider.
(ii) Materials to download or view
For products downloaded from the web environment (e-books, templates, etc.), the Provider sends customers links and other access details enabling them to download the purchased product.
(iii) Consultations
The Provider agrees dates for this type of product with the customer or sets dates for the customer to choose from via a booking system. A change of date may be requested no later than 48 hours before the event for particularly serious reasons on the customer’s side (e.g. illness).
(iv) Services
Individual services will be provided in the manner and at the time stated on the Provider’s website.
2. Product bundles
The Provider expressly stipulates and draws customers’ attention to the fact that some of its services consist of a combination of digital content and services. If such a bundle is purchased and not all of its components are used, or are not used within a predetermined period, for reasons on the customer’s side, the funds paid for these components of the bundle are not refunded.
3. Common rules
i) If the Provider creates user accounts for its customers for the use of certain services, the customer is obliged to keep the access details to their member account confidential.
ii) The Provider reserves the right to provide products only for the period stated in the description of the specific service or product.
iii) These terms and conditions also govern the legal relations between the Provider and the customer where the Provider supplies digital content in exchange for personal data instead of payment, a so-called “magnet” (and the Provider processes the personal data provided also for purposes other than supplying the digital content or fulfilling its legal obligations).
iv) The Provider makes the purchased digital content available to the customer in the latest version available at the time the contract for the supply of digital content is concluded with the customer. The Provider does not provide updates of the purchased digital content.
V. Withdrawal from the contract
1. The customer is entitled to withdraw from a contract concluded with the Provider if the concluded contract, these terms and conditions or the relevant provisions of the Civil Code so provide. In general, a customer who is a consumer has the right, under Section 1829 of the Civil Code, to withdraw from a distance contract within 14 days of the date on which the contract was concluded. This right is excluded for a customer acting as a business person.
2. Notice of the exception to the right of withdrawal from a distance contract for digital content for consumers: unless otherwise stated for a specific digital content product, the Provider informs the customer via its website, and the customer expressly gives consent via the options on the Provider’s website, that the digital content will be made available to them immediately after payment of the price. In such a case, the Provider notifies the customer that they lose the right to withdraw from the contract within 14 days of concluding the contract for the supply of digital content. Due to these circumstances deserving special consideration, the possibility of withdrawing from a distance contract within the said period of 14 days and demanding a refund of the full price paid is excluded for digital content offered through the Provider’s website or other internet services.
3. A customer who is a consumer is entitled to withdraw from a distance contract for the supply of digital content if the Provider does not supply the digital content immediately after payment or within an additional period set by the customer (unless a later delivery date is expressly stated in the product description). The customer may withdraw from the contract without an additional period only if it is clear from the Provider’s statement or from the circumstances that the Provider will not supply the digital content, or if it follows from the agreement of the parties or from the circumstances at the conclusion of the contract that performance at the specified time is essential. However, it is expressly stipulated that this provision does not apply to so-called pre-sales and other cases where a later delivery date is set.
4. For services related to leisure activities, due to the reservation of a date and of the Provider’s capacity for the customer (for consumers, this is a contract related to leisure activities), withdrawal is excluded under Section 1837 of the Civil Code and no money-back guarantee is provided, unless expressly stated otherwise in the product description.
5. If a gift or bonus is provided to the customer together with any product, the gift contract between the Provider and the customer is concluded with a resolutory condition that, if the customer withdraws from the contract, the gift contract regarding such gift or bonus ceases to have effect and the customer is obliged to return the gift or bonus to the Provider together with the product (or the Provider is entitled to refuse access to the gift or bonus).
6. The customer may withdraw from the contract in any suitable and comprehensible manner. The withdrawal may be sent to the Provider by email to the address stated in the header of these terms and conditions or in writing to the address of its place of business stated in the introduction of these terms and conditions, or the customer may use the model withdrawal form attached to these terms and conditions. It is sufficient for the withdrawal to be demonstrably sent to the Provider on the last day of the 14-day period from the conclusion of the contract. In the case of a duly made withdrawal, the Provider will refund the money received no later than 14 days after receiving the withdrawal.
7. A customer who is a consumer may also withdraw from a distance contract concluded via an online interface by a statement made in the online interface using a button or a similar control for withdrawal from the contract, if such a button or control is available for the given product. The Provider informs the customer on its website about the possibility of withdrawing in this way and about the location of the button or control.
8. Without undue delay after receiving the withdrawal from the customer, the Provider confirms its receipt to the customer in text form. This obligation applies regardless of the manner in which the customer withdrew from the contract. For a withdrawal made via a button or a similar control, the confirmation also contains the content of the withdrawal statement and the date and time it was sent.
9. The Provider is entitled to withdraw from the contract if, for objective reasons, it is not possible to provide the digital content or service under the original conditions, if performance becomes objectively impossible or unlawful, or in the event of a material breach of these terms or the contract by the customer, in particular due to insulting or similar conduct of the customer, etc. The Provider’s withdrawal will always be justified on grounds laid down by law or stated in these terms and conditions. The withdrawal takes effect upon delivery of the notice to the customer.
VI. Liability for defects and complaints procedure
Common provisions
1. The customer is entitled to exercise their rights arising from defective performance if the product shows a defect or another discrepancy with their order. Rights arising from defective performance are governed by the applicable legislation, in particular Sections 1914 to 1925 of the Civil Code; for services also Sections 2099 to 2112 of the Civil Code, for digital content Sections 2085a to 2085n of the Civil Code, and for customers who are consumers also Sections 2158 to 2160 of the Civil Code, whereby, in connection with Section 2615, the said provisions apply to services by analogy as to a purchase contract.
2. The Provider is liable for the product being free from defects upon receipt. The customer must notify the Provider of a defect by email without undue delay after discovering it, to the email address stated in the header of these terms and conditions, or via the contact form on the website.
3. Period for notifying a defect:
- – Business person: A defect may be notified upon receipt of performance.
- – Consumer: For services, a defect may be notified within 6 months of performance; for digital content, within the objective complaint period of 24 months from receipt of the subject of performance. If a defect in digital content appears more than 12 months after receipt, the customer must prove that the defect already existed at the time of receipt.
- – Warranty period: A defect covered by a warranty may be notified no later than within the complaint period determined by the length of the warranty period, which for digital content is 24 months, as stated above.
Provisions for services
4. The customer may request removal of the defect or a reasonable discount, or withdraw from the contract. The customer chooses how the complaint is to be resolved. However, the customer is not entitled to withdraw from the contract if the defect is insignificant.
5. In accordance with the law, a reasonable discount is determined as the difference between the value of the product without the defect and the value of the defective product provided to the customer. If the product is to be provided for a certain period, the period during which it was provided defectively is taken into account.
6. The Provider will refund at its own expense any amounts it is to pay to the customer due to defective performance, whether as a reasonable discount or because the customer withdraws from the contract, without undue delay and no later than fourteen days from the date on which the customer exercised the relevant right arising from defective performance with the Provider.
7. A period of 30 days is set for resolving the customer’s claims arising from liability for defects, including removal of the defect. By the end of this period the Provider must inform the customer of the outcome of the complaint procedure, and if the customer’s claims cannot be resolved within this period, the customer must be informed of this in advance and kept informed of the progress of the complaint procedure within the 30-day period.
Provisions for digital content
8. Special rules under Sections 2085a to 2085n of the Civil Code apply to digital content. The Provider is liable for the digital content being in conformity with the contract throughout the period of supply and for the fact that it: a) corresponds to the description, functionality, compatibility, interoperability and other characteristics stated in the contract, b) is fit for the purposes for which digital content of this kind is usually used, c) is supplied with accessories and instructions, including installation instructions, d) corresponds to updates, if the Provider provides them in accordance with the contract. These provisions also apply to specialised online tools using AI systems (AI buddies, etc.). In such a case, the Provider is liable for defects in digital content and services, including software tools using artificial intelligence, including defects arising as a result of updates, software improvements or continuous learning of the artificial intelligence system, as long as these remain under its control.
9. For digital content supplied as a one-off, the Provider is liable for defects that appear within two years of supply. For digital content supplied continuously, the Provider is liable for defects throughout the period of supply.
10. When exercising a right arising from defective performance, the customer must inform the Provider of what they consider the defect of the product to be and choose how they wish the defect to be resolved. The customer may not subsequently change this choice without the Provider’s consent, except in cases laid down by law. If the defective performance is a material breach of the contract, the customer is entitled to removal of the defect, a reasonable price reduction or withdrawal from the contract; if the defective performance is a non-material breach of the contract, the customer is entitled to removal of the defect or a reasonable price reduction, but is not entitled to withdraw from the contract.
Course of the complaint procedure
11. Within 3 working days of receiving the complaint, the Provider confirms to the customer’s email address that it has received the complaint, when it received it and the expected time needed to handle it, as well as the content of the complaint, the method of handling the complaint requested by the customer and the customer’s contact details for the purpose of informing them about how the complaint was handled.
12. The Provider handles the complaint, including removal of the defect, without undue delay, but no later than 30 days after receiving it. The period may be extended by mutual agreement (not unilaterally); in such a case, however, on the 30th day after receiving the complaint the Provider informs the customer by email about the progress of the complaint procedure. If the period for handling the complaint expires without result, the customer is entitled to withdraw from the contract.
13. The Provider informs the customer about how the complaint was handled by email or in writing. If the complaint is justified, the customer is also entitled to reimbursement of reasonably incurred costs associated with making the complaint. The customer must prove these costs.
Final provisions on complaints
14. These complaint rules apply unless special legislation provides otherwise. For customers who are consumers, the more favourable provisions of consumer protection legislation apply.
15. In the event of a dispute between the parties, the parties will try to resolve it amicably. A consumer has the right to contact the Czech Trade Inspection Authority or to use out-of-court dispute resolution through a body for alternative resolution of consumer disputes.
VII. Final provisions
1. The Provider is the author and holder of the copyright to the services and products, the websites and their individual components, insofar as they constitute copyrighted works, unless stated otherwise on the websites. The Provider is the author and holder of the copyright to components of online products, insofar as they constitute copyrighted works. Use of a work without the Provider’s consent or any other unauthorised exercise of rights to the works is prohibited.
2. The body competent for out-of-court resolution of consumer disputes (ADR) arising from the contract is: Czech Trade Inspection Authority (Česká obchodní inspekce), Central Inspectorate, ADR Department, Gorazdova 1929/64, 120 00 Praha 2, email: adr@coi.cz, web: adr.coi.cz. The online dispute resolution platform at https://consumer-redress.ec.europa.eu/index_cs may also be used to resolve disputes between the Provider and the customer arising from the contract, if the dispute is a consumer dispute.
3. Any rating of the products or of the Provider (reviews) shown on the website comes from a person to whom the digital content was actually made available or who used the service.
4. The Provider may amend or supplement the wording of these General Terms and Conditions; such changes take effect upon publication of the new General Terms and Conditions (or their amendments) on the Provider’s website. This provision does not affect the rights and obligations that arose while the previous version of the terms and conditions was in effect.
5. If any provision of these terms and conditions is or becomes invalid or ineffective, it will be replaced by a provision whose meaning comes as close as possible to the invalid provision. The invalidity or ineffectiveness of one provision does not affect the validity of the other provisions.
These General Terms and Conditions come into force and take effect on 20 July 2026.
